1. Acceptance of Terms
By accessing the Rhine Media website, engaging with our team, or entering into any cooperation agreement, you confirm that you have read, understood and agree to these Terms in their entirety. These Terms apply to all visitors, clients, affiliate partners and any other users of our services.
We reserve the right to modify these Terms at any time. Changes become effective upon posting to this page. Continued use of our services following any modification constitutes acceptance of the revised Terms.
2. Description of Services
Rhine Media is a performance media buying agency. Our services include, but are not limited to:
- Planning, execution and optimisation of paid advertising campaigns across multiple traffic sources;
- Media buying on platforms including Google Ads, Meta Ads, TikTok Ads, PropellerAds, Taboola, Outbrain, and others;
- Traffic acquisition for verticals including Dating, Nutra, Gambling, Sweepstakes, iGaming, Adult, Crypto Offers and Mainstream;
- Campaign analytics, performance reporting and strategic recommendations;
- Affiliate network and partner relationship management.
Rhine Media reserves the right to modify, suspend or discontinue any aspect of its services at any time without prior notice, and without liability to you or any third party.
3. Eligibility and Account Registration
To engage our services, you must be at least 18 years of age and have full legal capacity to enter into binding agreements in your jurisdiction. By using our services, you represent and warrant that you meet these eligibility requirements.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms. In such cases, "you" and "your" shall refer to that entity.
4. Client Obligations
By working with Rhine Media, you agree to:
- Provide accurate, complete and up-to-date information as required for campaign setup;
- Ensure that all materials, offers, landing pages and content provided to us comply with applicable laws and advertising platform policies;
- Not misrepresent the nature, quality or terms of any offer being promoted;
- Maintain sufficient funds or credit lines to cover agreed campaign spend;
- Notify us immediately of any changes to offers, products or compliance requirements;
- Not engage in fraudulent, misleading or unlawful advertising practices.
5. Prohibited Activities
You agree not to use our services for any of the following purposes:
- Promoting offers or content that violates any applicable law or regulation;
- Advertising products or services prohibited by applicable ad platforms' policies;
- Engaging in click fraud, bot traffic, or any form of traffic manipulation;
- Promoting illegal products, services, or activities of any kind;
- Infringing upon the intellectual property rights of any third party;
- Collecting personal data without appropriate legal basis or user consent;
- Any activity that would constitute a breach of applicable data protection laws.
Rhine Media reserves the right to immediately terminate services if it determines, in its sole discretion, that a client is engaged in any prohibited activity.
6. Fees, Payments and Billing
All fees, payment schedules and billing arrangements are set out in the specific service agreement or cooperation contract executed between Rhine Media and the client. Unless otherwise agreed:
- Invoices are due and payable within the timeframe specified in the applicable agreement;
- All payments are non-refundable unless otherwise expressly stated;
- Rhine Media reserves the right to suspend or terminate services for non-payment;
- Clients are responsible for all applicable taxes arising from their use of our services;
- Wire transfers, cryptocurrency and other payment methods may be subject to additional terms.
7. Intellectual Property
All content on the Rhine Media website, including text, graphics, logos, images and software, is the property of Rhine Media or its content suppliers and is protected by applicable intellectual property laws. You may not reproduce, distribute or create derivative works from any content on our website without express written permission.
You retain ownership of all materials and content you provide to Rhine Media. By providing such materials, you grant Rhine Media a non-exclusive, worldwide, royalty-free licence to use, reproduce and display such materials solely for the purpose of delivering the agreed services.
8. Confidentiality
Both parties agree to keep confidential all proprietary or non-public information disclosed during the course of the business relationship, including but not limited to: campaign strategies, bid data, conversion rates, financial terms, and technical methods. This obligation shall survive the termination of any service agreement for a period of two (2) years.
9. Limitation of Liability
To the fullest extent permitted by applicable law, Rhine Media shall not be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, revenue, data or business opportunities, arising out of or in connection with your use of our services, even if Rhine Media has been advised of the possibility of such damages.
Our total aggregate liability to you for any claims arising under or in connection with these Terms shall not exceed the total fees paid by you to Rhine Media in the three (3) months preceding the claim.
10. Indemnification
You agree to indemnify, defend and hold harmless Rhine Media, its officers, directors, employees, agents and partners from and against any and all claims, damages, losses, costs and expenses (including reasonable legal fees) arising out of or relating to:
- Your use of our services;
- Your breach of these Terms;
- Any content or materials you provide to us;
- Your violation of any law or the rights of any third party.
11. Disclaimer of Warranties
Our services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Rhine Media does not warrant that its services will be uninterrupted, error-free or meet your specific requirements.
Rhine Media does not guarantee specific campaign performance, conversion rates, revenue outcomes or return on ad spend. All performance metrics provided are estimates or historical figures and are not guarantees of future results.
12. Termination
Either party may terminate a service engagement by providing written notice in accordance with the applicable cooperation agreement. Rhine Media may terminate immediately and without notice in cases of material breach, fraudulent activity, or non-payment.
Upon termination, all outstanding invoices become immediately due and payable. Sections relating to Intellectual Property, Confidentiality, Limitation of Liability, Indemnification and Governing Law shall survive any termination.
13. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising out of or in connection with these Terms shall be resolved through good-faith negotiation in the first instance. If negotiation fails, disputes shall be referred to binding arbitration in accordance with the rules of a mutually agreed arbitration body.
14. Severability
If any provision of these Terms is found to be invalid, illegal or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable.
15. Entire Agreement
These Terms, together with any applicable cooperation agreement or service contract, constitute the entire agreement between you and Rhine Media with respect to the subject matter hereof, and supersede all prior agreements, understandings or communications on the same subject.
